1. Submission & Review

  • Submission of an application does not guarantee funding or a meeting with our team.
  • All applications are reviewed on a rolling basis, and we may contact applicants for additional materials or clarification.
  • We reserve the right to decline applications at our discretion.

2. Accuracy of Information

  • By submitting this form, you confirm that all information and materials provided are accurate, complete, and truthful to the best of your knowledge.
  • We may rely on the accuracy and completeness of the information you provide but have no obligation to verify such information. We disclaim any liability arising from reliance on submitted materials. You are solely responsible for the content of your submission. Any misinformation may result in removal from consideration.

3. Confidentiality

  • We treat all submissions on a non-confidential and non-proprietary basis unless a separate written agreement expressly provides otherwise. Please do not submit proprietary information, trade secrets, or confidential data that you are not comfortable sharing.
  • Your pitch deck and application materials may be shared internally among our investment team for evaluation purposes.
  • By submitting materials, you acknowledge that we may be reviewing or may in the future review or invest in opportunities that are similar to or competitive with your submission. Nothing in this process shall restrict our ability to pursue such opportunities.
  • We undertake no obligation of confidentiality, fiduciary duty, or restriction on use of general knowledge or concepts retained in unaided memory.

4. Intellectual Property

  • You retain ownership of your intellectual property. By submitting materials, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and share your submission internally and with our advisors solely for purposes of evaluating your application.
  • Submission of your application does not create any obligation to compensate you or enter into any transaction, and does not restrict our ability to invest in similar businesses or technologies.

5. Privacy & Data Use

  • By submitting this application, you consent to the collection, storage, and use of your information for evaluation, diligence, and internal business purposes.
  • We may use this information for internal reporting.
  • Personal data will not be sold or shared with external parties for marketing purposes.

6. Communication

We may, but are not obligated to, contact you regarding your submission. We do not guarantee response or feedback.

7. No Obligation or Commitment

  • Submission of an application does not create any contract, partnership, fiduciary duty or obligation on either party. We may decline or discontinue consideration at any time, with or without notice.
  • Any investment decisions will follow additional diligence, documentation, and mutual agreement.

8. Limitation of Liability

  • To the fullest extent permitted by law, we disclaim any liability for any damages arising out of or related to your submission, including without limitation loss of opportunity and business interruption.

9. Governing Law

  • These terms are governed by the laws of Rhode Island, without regard to conflict-of-laws principles.
